PREP WEEK (PRE-WORK)
The week prior to your project start date, we’ll work with you to get prepared!
During prep week, you'll provide us with the website copy, necessary logins, and complete a Website Blueprint. If the prep work isn't completed by the Friday before your project is scheduled to start, your project will be rescheduled.
If you don't already have brand colors and fonts, the purchase of a Branding Package is required. In that case, we'll partner with you during prep week to determine what colors and fonts are best suited for your new website.
Once we've completed the planning, we'll kick off the project on the Monday of your project's build week. By Wednesday afternoon, you'll receive a link to review the website. Approval or revisions must be provided back to us by Thursday at 11 am (EST).
REVISIONS & TESTING
Final steps are taken to complete the website, which includes connecting subscription forms and testing. We'll also check your new website to ensure it's 100% responsive.
We'll migrate the website to your hosting provider and make the website live. Start celebrating because it's launch time!
STATEMENT OF WORK AND AGREEMENT
Between "us", Type B Studio, LLC, and "you", Client.
You are hiring Type B Studio, LLC located at 1157 Griffin Avenue, Enumclaw, WA 98022 to build a website. An additional $497 will be added if brand colors and fonts are needed.
Type B Studio websites are WordPress websites. They are built using a template and are on an expedited project schedule. You must be ready to approve or provide a list of revisions within a short time period to remain on schedule.
Writing copy (text) is not included in this contract. However, we will edit your copy for grammar and will provide copy revision recommendations if we see anything that could easily be improved.
Type B Studio, LLC will provide up to 1 stock photograph per page. If you have photos you'd like us to use, you’ll need to provide them during prep week (high-quality digital photographs only).
We’re not a website hosting company so we don’t offer support for website hosting, email or other services relating to hosting. You may already have professional hosting. If you don’t, we will refer you to our preferred hosting provider, SiteGround. Once your new website is complete, we will migrate it to your server. After that, any updates to, and management of that server will be up to you.
The price and time frame of Type B Studio website projects are based on an expedited schedule and limited functionality needs. Excessive revisions during the process will require additional time to complete and may require a new statement of work to move the website from a customized template project to a custom website project.
We can’t guarantee that our work will be error-free (we’re human!) so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them.
We agree to use our best efforts to fulfill and exceed your expectation on the deliverables listed above. You agree to aid us in doing so by making available to us all needed information pertaining to your website, and to cooperate with us in expediting the work.
Functionality or feature requests above and beyond those listed in the Scope of Services are considered out-of-scope and will require an additional payment.
The total investment for your website is based on the scope of services discussed before the project begins. Payments are non-refundable. Payment plans are available. Client agrees to pay all payments.
If we incur legal fees, costs and disbursements in an effort to collect our payments, in addition to interest on the unpaid balance, you agree to reimburse us for these expenses.
Once your project is scheduled, we have made that time unavailable to anyone else and scheduled our team appropriately for the work. Therefore, we cannot easily change plans or adjust schedules.
During prep week, if it's determined that you're unable to proceed with the project on Monday, we will reschedule your project for our next available date, which could be months away. If your project needs to be put on hold, a fee of $250 must be paid to reschedule.
TYPE B STUDIO'S RESPONSIBILITY FOR RELEASES
We will obtain releases, licenses, permits or other authorization to use testimonials, copyrighted materials, photographs, artwork or any other property or rights belonging to third parties obtained by us for use in performing services for you (if applicable).
CLIENT’S RESPONSIBILITY FOR RELEASES
You guarantee that all elements of text, images, or other artwork you provide are either owned by you or that you have permission to use them. Then when your website is deployed, copyright will be automatically assigned as follows:
You’ll own the visual elements that we create for this project. You'll own all elements of text, images, and data you provided unless someone else owns them. We’ll own the unique combination of these elements that constitute a complete design and we’ll license that to you, exclusively and in perpetuity for this project only, unless we agree otherwise.
We will include a link in the footer of the website that states: Website Credits. This link will direct to a page on your website where we'll include a short paragraph about Type B Studio. This paragraph will include a link to the Type B Studio website. We can add any other vendors to this page, such as photographers, venues, makeup artists, etc. at the client's discretion.
CLIENT RESPONSIBILITY FOR ACCURACY
You are responsible for the accuracy, completeness, and propriety of information concerning your products and services which you furnish to us verbally or in writing about the performance of this Agreement.
Type B Studio, LLC acknowledges its responsibility, both during and after the term of its appointment, to use all reasonable efforts to preserve the confidentiality of any proprietary or confidential information or data developed by Type B Studio, LLC on behalf of Client or disclosed by Client to Type B Studio, LLC.
PERIOD OF AGREEMENT AND NOTICE OF TERMINATION
This Agreement will become effective as of the date of first payment and will continue as long the website design is active.
TERMINATION FOR CAUSE
Either party to this Agreement may terminate the Agreement if the other party defaults in the performance of any of its duties and obligations and the default is not cured within thirty (30) days of the receipt of notice of said default.
UNPAID FOR MATERIALS
If upon termination there exist any materials furnished by us or any services performed by us for which you have not paid us in full, until you have paid us in full you agree not to use any such materials, in whole or in part, or the product of such services.
This Agreement will be governed and construed in accordance with the laws of the State of Washington.
REPRESENTATIONS AND WARRANTIES
The parties each individually represent and warrant that each has full power and authority to enter into this Agreement and to perform all their obligations hereunder without violating the legal or equitable rights of any third party.
Except as otherwise set forth or referred to in this Agreement, this Agreement constitutes the sole and entire Agreement and understanding between the parties hereto as to the subject matter hereof and supersedes all prior discussions, agreements, and understandings of every kind and nature between them as to such subject matter.
If any provision of this Agreement is held to be illegal, invalid, or unenforceable under any present or future law, then that provision will be fully severable. In such instance, this Agreement will be construed and enforced as if the illegal, invalid, or unenforceable provision had never comprised a part of this Agreement, and the remaining provisions of this Agreement will remain in full force and effect. By continuing with payment, you agree that you have read and agree to these terms.
